Terms of Service

Please read these terms carefully before using Event Grid by Gridkawa.

Effective Date: April 1, 2026

1. Acceptance of Terms

By accessing or using Event Grid ("the Service"), operated by Gridkawa ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service. Your continued use of Event Grid after any modifications to these Terms constitutes acceptance of the updated Terms.

2. Description of Service

Event Grid is a course and event management platform that provides tools for managing courses, student enrollments, quizzes, attendance tracking, certificates, feedback collection, payment processing, and reporting. The Service is cloud-hosted (SaaS), managed by Gridkawa, and accessible via eg.gridkawa.com.

The Service supports multiple user roles including Administrators, Course Managers, Instructors, and Students, each with role-based access controls governing their permissions within the platform.

3. Account Registration

To use Event Grid, you must create an account by providing accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account.
  • Notifying us immediately of any unauthorized use of your account.

We support authentication via standard email/password, passwordless login, two-factor authentication (2FA), and SAML 2.0 single sign-on (SSO) integration with identity providers such as Azure AD, Okta, and Google Workspace.

Multi-Tenancy

Enterprise customers may operate multiple tenants within a single deployment. Each tenant administrator is responsible for managing user accounts, roles, and configurations within their tenant. Gridkawa is not responsible for actions taken by tenant administrators.

4. Subscriptions & Billing

Event Grid is offered under the following subscription tiers:

  • Starter ($29/month): Up to 5 active courses and 100 students with core features.
  • Professional ($79/month): Unlimited courses, up to 1,000 students, certificates, payment processing, and advanced analytics.
  • Enterprise ($199/month): Unlimited courses and students, multi-tenancy, SAML SSO, custom branding, and dedicated support.

Annual billing is available at a 20% discount. All plans include a 14-day free trial with no credit card required.

Payment Terms

  • Subscription fees are billed in advance on a monthly or annual basis.
  • We accept major credit cards (Visa, Mastercard, American Express) and bank transfers for annual Enterprise plans.
  • You may upgrade or downgrade your plan at any time. Upgrades are prorated; downgrades are credited toward your next billing cycle.
  • Failure to pay may result in suspension or termination of your account.

Course Payment Processing

If you use Event Grid's built-in payment processing feature (via Square integration) to collect fees from students, you are responsible for compliance with applicable payment card industry standards and local regulations. Gridkawa acts solely as a technology provider and is not a party to transactions between you and your students.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights.
  • Upload or transmit malicious code, viruses, or harmful content.
  • Attempt to gain unauthorized access to the Service, other accounts, or connected systems.
  • Circumvent or disable any security features, including authentication, role-based access controls, or rate limiting.
  • Use the Service to send unsolicited bulk communications (spam).
  • Upload content that infringes intellectual property rights or contains illegal material.
  • Exceed the usage limits of your subscription plan (course count, student count).

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

6. Data & Privacy

Your privacy is important to us. Our collection and use of personal data is governed by our Privacy Policy.

Data You Provide

Event Grid stores data that you and your users provide, including:

  • User account information (names, email addresses, roles).
  • Course content, schedules, and materials (PDF, DOCX, PPTX, XLSX, TXT, ZIP up to 10 MB).
  • Enrollment records, attendance data, and engagement scores.
  • Quiz questions, answers, scores, and attempt history.
  • Feedback forms, survey responses, and ratings.
  • Payment and transaction records.
  • Audit logs including actions, timestamps, and IP addresses.

Data Security

We implement industry-standard security measures including password hashing, encrypted connections (HTTPS/TLS), session management, rate limiting, and role-based access controls. Two-factor authentication and SAML SSO are available for enhanced security.

Data Retention & Deletion

Enterprise customers can configure data retention policies within the platform. Audit logs are retained for 365 days by default; application logs are retained for 30 days. Upon account termination, your data will be deleted in accordance with our data retention policy. You may request data export in CSV, Excel, PDF, or Word formats prior to deletion.

Data Ownership

You retain ownership of all data you upload to or create within Event Grid. Gridkawa does not claim ownership of your content and will not access, use, or share your data except as necessary to provide the Service or as required by law.

7. Intellectual Property

The Service, including its source code, design, features, documentation, and branding, is the intellectual property of Gridkawa and is protected by applicable copyright, trademark, and other intellectual property laws.

  • Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.
  • You may not reverse-engineer, decompile, modify, or create derivative works of the Service.
  • Enterprise customers may customize branding elements (logo, company name, primary color) within the platform's built-in branding settings. This does not grant rights to modify the underlying software.

8. Service Availability

We strive to maintain high availability for our cloud-hosted Service but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance when possible.

Enterprise customers with custom SLAs are governed by the specific availability commitments outlined in their service agreement.

We are not liable for service interruptions caused by factors beyond our control, including internet outages, third-party service failures, or force majeure events.

9. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
  • Gridkawa shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • Our total liability for any claim related to the Service shall not exceed the amount you paid to Gridkawa in the twelve (12) months preceding the claim.
  • We are not responsible for the accuracy, legality, or appropriateness of content uploaded by users, including course materials, quiz content, and feedback responses.

10. Termination

You may cancel your subscription at any time from your account settings or by contacting us at support@gridkawa.com. Upon cancellation:

  • You will retain access until the end of your current billing period.
  • You may export your data before the account is deactivated.
  • After the billing period ends, your account and data will be scheduled for deletion in accordance with our retention policy.

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms, fail to pay, or engage in activity that harms the Service or other users.

11. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will:

  • Update the "Effective Date" at the top of this page.
  • Notify registered users via email or in-app notification.
  • Provide at least 30 days' notice before significant changes take effect.

Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts located in Ontario, Canada.
